
Oklahoma Franchise Laws
Oklahoma is a non-registration state for franchising, so franchisors do not need to register their Franchise Disclosure Document (FDD) with a state agency before offering or selling franchises. That means the pre-sale disclosure process is governed by the Federal Trade Commission’s (FTC) Franchise Rule. But, make sure you hire Oklahoma Franchise Attorneys before you franchise in the state.
While Oklahoma has a Business Opportunity Sales Act, most franchisors are exempt from its requirements. This exemption applies as long as the franchisor complies with the FTC Franchise Rule by providing the FDD to a prospective franchisee at least 14 days before a contract is signed or any payment is made. And no state filing is required to claim this exemption.
Regarding the ongoing relationship, Oklahoma does not have a franchise relationship law governing issues like termination or renewal for most business formats.
Instead, these matters are determined by the terms of the franchise agreement and general contract law.
However, specific industries, such as new motor vehicle dealers, are granted special statutory protections.
