About New Hampshire Franchise Law

New Hampshire is a “non-registration” state for franchises, meaning it does not have a state-level agency that oversees franchise registration or sales. But you still need to hire New Hampshire Franchise Attorneys to help you with the FDD and franchise agreement.

In essence, the entire process of offering and selling a franchise is governed at the federal level by the Federal Trade Commission’s (FTC) Franchise Rule. This rule mandates that franchisors provide prospective buyers with a Franchise Disclosure Document (FDD), which contains essential information about the franchise system.

Furthermore, this disclosure must occur before any contracts are signed or money is exchanged, but no documents need to be filed with the state of New Hampshire.

Now, once a franchise agreement is signed, the ongoing relationship between the franchisor and franchisee is also not regulated by any specific state franchise law. New Hampshire lacks a “franchise relationship law,” which means that critical matters such as contract termination, renewal rights, and transfer procedures are dictated almost exclusively by the terms written into the franchise agreement.

Accordingly, in the event of a dispute over these issues, both parties must rely on general principles of contract law rather than a statute providing specific franchisee protections. However, there are two specific exceptions to this general framework.

First, the state’s Distributorship Disclosure Act applies to certain business opportunities, often involving vending machines or product display racks, which have their own distinct registration and disclosure requirements with the Attorney General’s office.

Second, New Hampshire provides statutory protections for dealers in specific industries, most notably motor vehicles. These industry-specific laws grant dealers rights concerning termination and other business practices that are not available to franchisees operating under the general business format model.
