
Franchising Laws in Wyoming
Wyoming is widely considered one of the least restrictive states for franchise sales, largely because it is a non-registration state. But that doesn’t mean you shouldn’t hire Wyoming Franchise Attorneys if you’re starting a franchise business.
Unlike jurisdictions with specific franchise investment laws, Wyoming does not require a franchisor to register its franchise offering or file the Franchise Disclosure Document (FDD) with any state authority before offering or selling franchises to residents.
Translation: the primary legal compliance burden for franchisors operating in Wyoming is the federal standard set by the Federal Trade Commission’s (FTC) Franchise Rule.
In view of that, the absence of a state-specific franchise statute means that the definition of a franchise for transactional purposes is primarily governed by the FTC Rule, which requires a prospective franchisee to be provided with the FDD at least 14 days before signing a binding agreement or making any payment.
In addition, Wyoming also lacks any general “business opportunity” statutes that might otherwise require an alternative form of state registration for certain sales that meet the state’s definition of a franchise. That means that franchisors can offer and sell their opportunities in Wyoming once they have satisfied all federal disclosure requirements.
Furthermore, Wyoming has not enacted a broad franchise relationship law that governs the post-sale interactions between a franchisor and a franchisee.
Many states have “good cause” requirements for termination or non-renewal, but Wyoming does not impose these relationship protections on business format franchises.
And while there are state regulations and licensing requirements specific to certain specialized dealerships, such as motor vehicle dealerships, general business format franchises operating in Wyoming are not subject to a state-level law dictating termination notice periods or requiring good cause to end the agreement.
