That said, franchisors with a federally registered trademark can usually claim an exemption from the Business Opportunity Investment Act by filing a one-time “exclusion notice” with the Department of Banking.
Without a federally registered trademark, franchisors must register as a business opportunity seller, submitting their FDD, application, and potentially a bond, along with an annual fee.
Beyond pre-sale disclosures, Connecticut’s Franchise Act (CFA) governs ongoing franchisor-franchisee relationships. This “relationship law” provides substantial protections to franchisees within the state, restricting franchisors’ actions concerning termination, non-renewal, and transfer of agreements.
The CFA generally requires “good cause” for termination or non-renewal, specifying notice periods (e.g., 60 days for termination, six months for some non-renewals).
It also prohibits franchise agreement terms under three years and mandates fair compensation for franchisee inventory upon termination, strengthening franchisee rights and guiding dispute resolution.
